Terms

1. The Client retains full ownership of all brand assets, logos, text, imagery, and domain names provided to the Agency.

2. Content for websites must be provided by the client within 30 days of payment. If no content is provided within this timeframe, placeholder content ("Lorem Ipsum" and royalty-free stock imagery) will be used whilst the subscription is active and the product will be considered complete.

3. The upfront Setup Fee must be paid upfront. For E-Commerce sites, the additional amount is paid upon completion.

4. The upfront Setup Fee covers the labor required to design, configure, and launch the website. It is not a purchase of the underlying software. The Agency retains full ownership of the codebase, templates, custom scripts, Next.js architecture, and server infrastructure used to create and host the website.

5. The website is provided under a "Website as a Service" (WaaS) model. The mandatory monthly support tier (Core or Plus) grants the Client a non-exclusive, ongoing license to use the Agency’s proprietary codebase and hosting infrastructure. The website will remain live and operational only while this monthly subscription is active and in good standing.

6. The Client may cancel their monthly subscription at any time with a 30-day written notice. Upon cancellation or failure to pay the monthly subscription:

7. Should the Client wish to cancel their ongoing monthly subscription but retain the website, the Agency may, at its sole discretion, offer a one-time Intellectual Property Buy-Out Fee. Upon payment of this fee, the Agency will provide a static export or codebase transfer, subject to a separate release agreement.

8. If the client becomes unresponsive for a period of 45 days, the project will become classed as dormant and archived. The Agency reserves the right to charge a £100 Reactivation Fee to unarchive the project and resume development. Upfront Setup Fees for dormant projects are non-refundable.
